1. Acceptance of Terms

By accessing or using Budtend's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

2. Description of Services

Budtend provides point-of-sale software, inventory management, customer loyalty programs, analytics, and related services for cannabis dispensaries ("Services"). Our Services are designed to help you manage your dispensary operations efficiently.

3. Account Registration

To use our Services, you must register for an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Fees and Payment

You agree to pay all fees associated with your use of our Services:

  • Monthly subscription fee of $99 per terminal
  • Transaction processing fees (2.6% + $0.10 per transaction)

Fees are billed monthly and are non-refundable except as required by law. We may change our fees with 30 days' notice.

5. Acceptable Use

You agree not to:

  • Use our Services for any illegal purpose
  • Violate any applicable laws or regulations
  • Interfere with or disrupt our Services
  • Attempt to gain unauthorized access to our systems
  • Use our Services to transmit malware or harmful code
  • Resell or redistribute our Services without permission

6. Compliance

You are responsible for ensuring your use of our Services complies with all applicable laws and regulations, including cannabis licensing requirements, state and local regulations, and reporting requirements.

7. Data Ownership

You retain ownership of all data you input into our Services ("Your Data"). You grant us a license to use Your Data solely to provide and improve our Services. We will not share Your Data with third parties except as described in our Privacy Policy.

8. Intellectual Property

Our Services, including all software, designs, and content, are owned by Budtend and protected by intellectual property laws. You may not copy, modify, or distribute our Services without permission.

9. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to our Services will be disabled
  • You may export your data within 30 days
  • We will delete your data after 90 days
  • You remain responsible for any outstanding fees

10. Disclaimer of Warranties

Our Services are provided "as is" without warranties of any kind. We do not guarantee that our Services will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Budtend shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

12. Indemnification

You agree to indemnify and hold harmless Budtend from any claims, damages, or expenses arising from your use of our Services or violation of these terms.

13. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or through our Services. Continued use after changes constitutes acceptance.

14. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
